These Terms of Service ("Terms") govern access to and use of VenueArc websites, applications, and services (collectively, the "Services"). By using the Services, you agree to these Terms.

1. Eligibility and authority

You must be at least 16 years old to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Changes to the Services and Terms

We may update the Services and these Terms from time to time. Updates are effective when posted unless otherwise stated. Your continued use of the Services after updates means you accept the revised Terms.

3. Privacy

Our Privacy Policy explains how we collect and use information. By using the Services, you acknowledge and agree to those practices.

4. Accounts and security

You are responsible for account credentials, account activity, and maintaining the confidentiality of login details. You must provide accurate account information and promptly notify us of unauthorized use.

5. Subscription, billing, and payment

Paid features are provided under applicable order forms or subscription plans. Fees, billing intervals, renewal terms, and taxes are governed by your commercial agreement with VenueArc. Late or failed payments may result in suspension of paid features.

6. Acceptable use

You agree not to misuse the Services. Prohibited conduct includes:

• Violating laws or regulations.
• Accessing systems, accounts, or data without authorization.
• Interfering with platform performance, security, or availability.
• Uploading malware or malicious code.
• Attempting to reverse engineer or bypass technical protections.
• Using automated extraction methods (for example, scraping) without express permission.

7. Customer data

You retain ownership of customer data you submit to VenueArc. You grant VenueArc the rights necessary to host, process, transmit, and display that data solely to provide, secure, and improve the Services and fulfill legal obligations.

8. Third-party services

The Services may include integrations or links to third-party services. VenueArc is not responsible for third-party products, policies, or content.

9. Intellectual property

VenueArc and its licensors own all rights, title, and interest in the Services, including software, content, trademarks, and branding, except for customer data owned by customers.

10. Feedback

If you provide suggestions or feedback, VenueArc may use that feedback without restriction or compensation, provided we do not disclose your confidential information in doing so.

11. Suspension and termination

We may suspend or terminate access if you violate these Terms, pose a security risk, or if required by law. You may stop using the Services at any time.

12. Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of liability

To the fullest extent permitted by law, VenueArc and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or loss of profits, revenue, goodwill, or data.

14. Indemnification

You agree to defend, indemnify, and hold harmless VenueArc and its affiliates from claims, liabilities, and expenses arising from your use of the Services, your content, or your violation of these Terms or applicable law.

15. Governing law and dispute resolution

Unless otherwise required by applicable law or a signed commercial agreement, these Terms are governed by applicable U.S. law and the law of the state specified in your contract with VenueArc.

16. General terms

If any provision is held unenforceable, remaining provisions remain in effect. Failure to enforce any provision is not a waiver. These Terms, together with applicable order forms and policies, are the complete agreement for use of the Services.
